Omnes Capital invests in Marquetis & Co, a communications agency specialising in operational marketing, and arranges the mezzanine debt for the deal Levine Keszler advises Omnes Capital

Paris-based operational marketing group Marquetis & Co is restructuring its capital and strengthening its development with Omnes. Active on the French marketing and communications market since 1996, the Marquetis Group, headquartered in Boulogne Billancourt, has been run for more than 20 years by the management team of Virginie Massa and Evangelos Vatzias. The Marquetis Group operates through its subsidiaries, Marquetis One, Marquetis Connect and Marquetis Call. It offers a 360° service, from global communications consultancy to automated cross-channel marketing in SaaS mode.

The group has a portfolio of loyal customers made up of key accounts from a variety of sectors (automotive, services, insurance, banking, etc.). The group generated sales of nearly €20m in 2017, with profitability of 15%.

After a year of growth in 2017, the group’s shareholding changed: Virginie Massa, the agency’s CEO, became its chairman and took a majority stake, while Evangelos Vatzias became a minority shareholder and reinvested in the project. The management team reaffirmed its confidence in the directors and retained a stake of almost 20%. The transaction is financed through mezzanine debt, provided by Omnes Capital, and senior debt, provided by BNP Paribas and Neuflize OBC.

Levine Keszler advised Omnes Capital on the legal due diligence of the Marquetis Group and the negotiation of the transaction documentation.
