Levine Keszler advises a client base that includes private equity funds specialising in LBO transactions and companies in the small and mid-cap segments, for transactions generally ranging from €10 million to €150 million in enterprise value.

We advise on both majority and minority equity transactions and on sponsorless mezzanine financing.

Venture Capital

Levine Keszler advises start-up founders and venture capital investors on their creation (structuring, shareholders’ agreement) and on all their fund-raising operations (Seed, Series A), financing (venture loan) or employee profit-sharing schemes (BSPCE, AGA, BSA).

We are also involved in growth capital transactions, helping profitable companies to raise funds from minority investment funds. We assist our clients in structuring their financing rounds and optimizing governance, particularly with a view to acquisitions, capital restructuring or exit strategies.

Advice to managers

Levine Keszler advises the managers of groups involved in LBO transactions on the structuring and negotiation of their management packages.
We have extensive experience of this type of transaction in terms of both equity and financing, and we negotiate and adapt the proposed management package to the specific features of the transaction, in close coordination with the tax team assigned to the deal.
